Wholesale Terms

These terms apply to wholesale orders supplied directly by Silly Play Co.
1. Orders & pricing
Wholesale prices, quantities, freight charges and delivery timing will be set out in the relevant order confirmation. All prices are in New Zealand dollars. Silly Play Co. is not GST registered and GST is not charged. Any recommended retail price provided by Silly Play Co. is a recommendation only. Retailers remain responsible for setting their own retail prices.
An order becomes confirmed when the retailer accepts the order confirmation and these Wholesale Terms.
2. Payment
Payment is due within 14 days of the invoice date unless otherwise agreed in writing.
3. Freight & delivery
Freight will be charged as set out in the order confirmation. Risk in the goods passes to the retailer on delivery.
We’ll aim to dispatch orders at the agreed time. Any delivery or dispatch dates provided are estimates unless expressly agreed otherwise. If we become aware of a material delay, we’ll let you know as soon as reasonably possible.
4. Damaged, faulty or missing stock
Please let us know as soon as reasonably possible if an order arrives damaged, faulty or incomplete. Where goods are faulty, damaged in transit or missing from an order, we’ll provide a replacement, credit or other appropriate remedy. We don't accept returns of unsold stock or change-of-mind returns unless agreed in advance.
Nothing in these terms limits any rights or remedies that cannot lawfully be excluded.
5. Changes & cancellations
If you need to change or cancel a confirmed order, please get in touch as soon as possible. Changes or cancellations after confirmation are subject to agreement by Silly Play Co.
6. General
These Wholesale Terms, together with the relevant order confirmation, form the agreement between Silly Play Co. and the retailer for that order. These terms are governed by the laws of New Zealand.
